Terms of Service

1. Service Description

Prson Network ("Prson", "we", "us", "our") is a lead generation and appointment booking platform operated by Yumankind OU, a company registered in Estonia. Prson connects customers who need services with qualified service providers (companies and professionals).

Our platform receives service requests, searches for and contacts relevant service providers, facilitates the first contact between customer and provider, and attempts to find available time slots that work for both parties.

Prson is an intermediary platform only. We do not provide, perform, or deliver any of the services offered by the service providers listed on or connected through our platform.

2. No Warranty on Service Providers

While we make reasonable efforts to connect customers with qualified professionals, Prson does not guarantee, warrant, or make any representations regarding:

• The quality, safety, or legality of any service provided by third-party providers
• The qualifications, licensing, certifications, or professional credentials of any provider
• The insurance coverage or bonding status of any provider
• The legal compliance of any provider with applicable local, national, or EU regulations
• The accuracy of any information provided by service providers

Customers are strongly encouraged to independently verify provider credentials, licensing, insurance, and references before engaging any service provider found through Prson.

3. Limitation of Liability

Prson facilitates connections between customers and service providers. We are not a party to any agreement between a customer and a service provider, and we bear no liability for:

• Any service, work, or deliverable provided by a third-party service provider
• Any damages, losses, or injuries resulting from services arranged through our platform
• Any disputes between customers and service providers
• Any failure by a provider to appear, complete, or adequately perform a service
• Any communication or lack thereof between customer and provider after the initial booking

To the maximum extent permitted by applicable law, Prson, Yumankind OU, and their officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our platform or any services obtained through it.

4. Commission and Fees

Prson may charge a commission or booking fee for successful connections made through the platform. This fee constitutes a platform service charge for facilitating the connection between customer and provider. It is not payment for the underlying service itself.

The applicable fee, if any, will be clearly communicated before a booking is confirmed. Not all bookings are subject to a commission. Fee structures may vary depending on the type of service, provider, or arrangement.

5. User Responsibilities

As a user of Prson, you agree to:

• Provide accurate and complete information when submitting service requests
• Independently verify the credentials, licensing, insurance, and qualifications of any service provider before engaging their services
• Make your own informed decisions regarding which providers to hire and which services to purchase
• Communicate directly with service providers regarding the scope, pricing, and terms of their services
• Not use the platform for any unlawful purpose or in violation of these Terms

You acknowledge that Prson provides a matchmaking service only, and that all decisions regarding hiring a service provider are solely your own responsibility.

6. Service Provider Responsibilities

Service providers connected through Prson are independent third parties, not employees, agents, or contractors of Prson or Yumankind OU. Each service provider is solely responsible for:

• The quality, safety, and legality of the services they provide
• Maintaining all required licenses, permits, certifications, and insurance
• Compliance with all applicable laws and regulations
• All customer communication and relationship management after the initial booking facilitated by Prson
• Providing any warranties, guarantees, or after-service support to their customers
• Handling complaints, refunds, and disputes related to their services

7. Cancellation and Refunds

The following refund policy applies to the Prson platform fee (booking fee) only. Refunds for the underlying service itself are the responsibility of the service provider.

Customer-initiated cancellations

• More than 72 hours before the scheduled appointment: full refund of the platform fee
• Between 24 and 72 hours before the scheduled appointment: 50% refund of the platform fee
• Less than 24 hours before the scheduled appointment: no refund of the platform fee

Provider-initiated cancellations

If a service provider cancels the appointment, the customer will receive a 100% refund of the platform fee. Prson will make reasonable efforts to find an alternative provider.

8. Data Usage

Your use of Prson is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal data. By using our platform, you consent to the data practices described in our Privacy Policy.

9. Intellectual Property

All content on the Prson platform, including but not limited to text, graphics, logos, icons, images, software, and the overall design and arrangement of the platform, is the property of Yumankind OU or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any platform content without the prior written consent of Yumankind OU.

10. Dispute Resolution

Disputes arising from services provided by third-party service providers are between the customer and the provider. Prson is not a party to such disputes and has no obligation to mediate or resolve them.

While we may, at our sole discretion, assist with communication between the parties, we do not accept any liability for the outcome of such disputes. Customers and providers are encouraged to resolve disagreements directly.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. Where applicable, relevant European Union regulations, including consumer protection directives, shall also apply.

Any disputes arising from these Terms that cannot be resolved amicably shall be submitted to the jurisdiction of the courts of Estonia.

12. Changes to Terms

Prson reserves the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms.

For material changes, we will make reasonable efforts to notify users via email or through the platform.
